By Karena Affiliate Program Terms & Conditions
Effective Date: As of September 20, 2026
1. Program Overview
The By Karena Affiliate Program (“Program”) is operated by By Karena Co (“By Karena,” “we,” “us,” or “our”) and allows approved affiliates (“Affiliate,” “you,” or “your”) to earn commissions by promoting eligible By Karena Co products through approved affiliate links and/or affiliate codes.
By applying to, participating in, or promoting By Karena through the Program, you agree to comply with these Affiliate Program Terms & Conditions (“Terms”).
Participation in the Program is subject to approval by By Karena. Submission of an application does not guarantee acceptance.
By Karena reserves the right to approve or decline applications and to suspend or terminate an Affiliate’s participation in accordance with these Terms.
The Program is administered and tracked through Affiliatrak, which may provide Affiliates with access to their affiliate dashboard, referral links, affiliate codes, tracking information, qualifying orders, and commission information.
These Terms govern the relationship between By Karena Co and each Affiliate and apply in addition to any applicable terms, policies, or requirements communicated by By Karena Co or made available through the Affiliate dashboard.
2. Affiliate Account & Eligibility
To participate in the Program, an applicant must apply through our website and provide accurate and complete information during the application and onboarding process.
Affiliates must:

Be at least 18 years of age, or meet the applicable legal age requirement in their jurisdiction;
-
Provide accurate contact and payment information;
-
Maintain only one Affiliate account unless By Karena Co provides written authorization for additional accounts;
-
Use their own approved Affiliate account, referral link, and/or affiliate code;
-
Keep their account information current;
-
Comply with these Terms and all applicable laws, rules, and regulations; and
-
Complete any required payment, tax, or verification information before receiving commissions.
By Karena Co may request additional information or documentation when reasonably necessary to verify an Affiliate's identity, account, activity, or eligibility.
An Affiliate may not transfer, sell, assign, or otherwise give another person access to their Affiliate account, referral link, or affiliate code without written permission from By Karena.
By Karena may reject an application or restrict, suspend, or terminate an Affiliate account if the Affiliate provides inaccurate information, violates these Terms, engages in fraudulent or deceptive activity, or otherwise creates risk to By Karena, its customers, or the integrity of the Program.

Commission Structure
Approved Affiliates may earn commissions on qualifying purchases attributed to their approved affiliate link and/or affiliate code.
Affiliate Tiers
The Program currently includes the following affiliate tiers:
Muse
Rising Star
Insider
An Affiliate's applicable commission rate is determined by their active Program tier at the time the qualifying purchase is attributed to the Affiliate, unless otherwise specified by By Karena Co.
By Karena Co may review an Affiliate's activity and eligibility before approving a tier advancement.
Commission Calculation
Commissions are calculated as a percentage of the eligible merchandise subtotal actually paid by the customer after applicable discounts.
For purposes of calculating commissions, the eligible merchandise subtotal does not include:

Shipping or delivery charges;
-
Sales tax or other taxes;
-
Gift cards or other non-eligible items;
-
Refunded or canceled amounts;
-
Chargebacks;
-
Fraudulent or otherwise invalid transactions; or
-
Other amounts specifically excluded by By Karena.
For example, if a customer purchases $40 of eligible merchandise and receives a %10 discount, the eligible merchandise subtotal is $36. An Affiliate earning a 10% commission would receive $3 in commission on that qualifying order.
Minimum Qualifying Order
An order must have an eligible merchandise subtotal of at least $20 to qualify for an Affiliate commission.
Orders with an eligible merchandise subtotal below $20 do not generate an Affiliate commission.
The $20 minimum qualifying-order requirement is separate from the Program's $25 minimum payout threshold.
Attribution
A qualifying purchase must be properly attributed to the Affiliate through the Affiliate's approved Affiliatrak referral link and/or affiliate code in accordance with the Program's tracking and attribution rules.
By Karena Co is not responsible for commissions that cannot be properly attributed because a customer did not use the Affiliate's approved link or code, tracking was disrupted by circumstances outside By Karena Co's reasonable control, or the transaction otherwise failed to meet the Program's attribution requirements.
Commission Adjustments
Commissions may be adjusted, withheld, or reversed when an order is subsequently refunded, canceled, returned, charged back, determined to be fraudulent, or otherwise determined to be ineligible under these Terms.
By Karena Co may deduct or offset reversed commissions from future commission payments or account balances where permitted by applicable law.
Affiliate Links, Codes & Tracking
Affiliate Links and Codes
Personal Affiliate Discount Code
Each approved Affiliate will receive a personal discount code for their own personal purchases from the By Karena website.
The personal discount code:
Provide the affiliate with 20% off eligible personal purchases;
- May be used a maximum of 2 times per month
- Is solely for the affiliate's personal use
- May not be shared, transferred, resold, or distributed to other individuals;
- May not be used for purchases made on the behalf of another person
- Does not generate commissions
- Do count as a qualifying referral, qualifying sale, affiliate revenue, or tier credit
- May not be combined with other discounts or promotional offers unless permitted by By Karena.
- Unused monthly uses do not carry over to subsequent months.
By Karena may modify, suspend, or discontinue the Personal Discount code benefit in accordance with these terms and applicable program policies.
Affiliate Code
Each approved Affiliate may receive a unique referral link and/or affiliate code through the By Karena Affiliate Program.
Affiliates may use their approved referral link and affiliate code to promote eligible By Karena products through approved promotional channels.
Affiliates may not alter, obscure, manipulate, or misrepresent their referral links or affiliate codes in a manner that interferes with accurate tracking or attribution.
Referral Cookie
The Program uses a 30-day referral cookie for tracking eligible referrals.
When a customer interacts with an Affiliate's qualifying referral link, the referral may remain attributable to that Affiliate for up to 30 days, subject to Affiliatrak's tracking technology and any applicable attribution rules.
A referral cookie does not guarantee a commission. The resulting purchase must independently satisfy all requirements for a qualifying order under these Terms.
If a customer uses another Affiliate's qualifying referral link during the applicable tracking period, attribution may be affected according to the Program's tracking and attribution rules.
Tracking Information
Affiliates may view available referral activity, qualifying orders, commissions, and other performance information through their Affiliatrak dashboard.
Affiliatrak provides the tracking technology used by the Program, but dashboard information may be subject to processing delays, corrections, adjustments, refunds, cancellations, or other changes.
By Karena Co''s records and the Program's tracking system will be used to determine commission eligibility and amounts.
Tracking Limitations
By Karena Co does not guarantee that every click, referral, or purchase will be tracked or attributed successfully.
Technical issues, customer settings, browser restrictions, deleted or blocked cookies, use of different devices, failure to use the Affiliate's link or code, or other circumstances outside By Karena's reasonable control may prevent attribution.
Affiliates are not entitled to commissions for purchases that cannot be properly attributed under the Program's tracking rules.
Affiliate Tiers & Advancement
The By Karena Affiliate Program includes three affiliate tiers: Muse, Rising Star, and Insider.
An Affiliate's tier determines their applicable commission rate and may also determine additional Program benefits or requirements.
Muse
The Muse tier is the entry-level affiliate tier.
Commission rate: 10%
To remain eligible for the Muse tier, an Affiliate must remain an active participant in the Program and comply with these Terms.
Muse Affiliates may work toward advancement to the Rising Star tier by meeting the applicable advancement requirements.
Rising Star
The Rising Star tier has a commission rate of 15%.
To qualify for Rising Star, an Affiliate must meet the Program's applicable advancement requirements, including:

11 or more qualifying sales;
-
1,000 or more qualifying views;
-
The applicable qualifying referral requirement established by By Karena; and
-
At least $250 in qualifying Affiliate revenue.
-
Any applicable promotional requirements established by the Program.
By Karena Co may verify qualifying sales, referrals, views, and revenue before approving a tier advancement.
Insider
The Insider tier has a commission rate of 20%.
To qualify for Insider, an Affiliate must meet the applicable advancement requirements, including:
-
30 or more qualifying sales;
-
30 or more qualifying referrals;
-
At least $650 in qualifying Affiliate revenue;
-
10,000 or more qualifying views within the applicable 30-day period; and
-
At least 4 qualifying promotional posts during the applicable advancement period.
By Karena Co may verify qualifying activity before approving an Insider advancement.
Tier Verification
Meeting a numerical requirement does not automatically guarantee advancement to a higher tier.
By Karena Co may review an Affiliate's activity to confirm that sales, referrals, views, and revenue and promotional activity were generated through legitimate and compliant means.
Activity resulting from fraud, spam, self-referrals, prohibited promotional practices, manipulated engagement, canceled or refunded orders, or other violations of these Terms may not count toward tier advancement.
Tier Changes
By Karena may update an Affiliate's tier when the Affiliate satisfies the applicable requirements and the advancement has been verified.
If an Affiliate no longer meets the requirements for their current tier, violates these Terms, or engages in activity that makes previously credited activity ineligible, By Karena may adjust the Affiliate's tier or commission rate prospectively.
By Karena will not retroactively change the commission rate on qualifying transactions that were properly earned under the Affiliate's previously approved tier solely because the Affiliate's tier subsequently changes, unless the underlying transaction is later determined to have been ineligible.
Program Requirements
By Karena Co may establish reasonable requirements for qualifying sales, referrals, views, posts, and revenue and may update Program requirements in accordance with the Program's modification provisions.
Any updated requirements will be communicated to participating Affiliates before they are applied to future tier advancement.
Promotional & Content Requirements
Affiliates are encouraged to promote By Karena authentically and creatively while maintaining accurate, respectful, and brand-appropriate communications.
Truthful Promotion
Affiliates must make truthful and accurate statements about By Karena and its products.
Affiliates may not:
-
Make false, misleading, or deceptive statements about By Karena, its products, prices, promotions, materials, availability, shipping, or policies;
-
Make claims about a product that they cannot reasonably substantiate;
-
Claim to have personally used, purchased, or experienced a product when they have not;
-
Misrepresent their relationship with By Karena;
-
Represent themselves as an employee, owner, representative, or authorized spokesperson of By Karena unless expressly authorized in writing; or
-
Make guarantees regarding product results, customer experiences, or sales outcomes.
Affiliates are responsible for ensuring that their promotional content accurately reflects their own experience and complies with applicable advertising laws and platform rules.
Affiliate Disclosure
Affiliates must clearly and conspicuously disclose their material connection to By Karena whenever they promote By Karena products and may receive a commission from resulting purchases.
Disclosures must be:
-
Easy to notice and understand;
-
Presented in close proximity to the promotional content or affiliate link;
-
Written in language that an ordinary consumer can understand; and
-
Appropriate for the platform or format being used.
Examples include:
“I earn a commission from purchases made through my By Karena link.”
“This post contains affiliate links, which means I may earn a commission if you make a purchase.”
Affiliates must not rely solely on vague terms, hashtags, tags, or statements that do not clearly communicate that they may receive compensation.
Affiliates are responsible for complying with applicable disclosure requirements, including applicable Federal Trade Commission requirements and the rules of the social-media or advertising platform being used.
Social Media Content
Affiliates may promote By Karena through social-media platforms and other channels approved by By Karena.
Promotional content must:
-
Be authentic and truthful;
-
Comply with the applicable platform's terms and advertising policies;
-
Include the required affiliate disclosure;
-
Use accurate product information;
-
Direct customers to legitimate By Karena pages, affiliate links, or approved affiliate codes; and
-
Comply with these Terms.
Prohibited Promotional Practices
Affiliates may not use:
-
Spam;
-
Bots or automated engagement;
-
Fake accounts;
-
Fake reviews or testimonials;
-
Purchased followers, views, likes, comments, or other artificial engagement for satisfying Program requirements;
-
Misleading redirects or hidden links;
-
Malware, deceptive software, or other harmful technology;
-
Phishing or impersonation;
-
False urgency or fabricated scarcity;
-
Misleading coupon or discount claims;
-
Content designed to deceive customers into clicking an affiliate link; or
-
Any other fraudulent, deceptive, or unlawful promotional method.
Paid Advertising
Affiliates may not purchase paid search, social-media, display, or other advertising using By Karena's trademarks, brand name, or other protected brand identifiers without prior written authorization from By Karena.
By Karena may establish additional restrictions concerning paid advertising, keywords, bidding, placement, or use of brand assets.
Promotional Materials
By Karena may provide approved logos, product images, graphics, descriptions, or other promotional materials for Affiliate use.
Affiliates may use approved materials solely to promote By Karena and the Program.
Affiliates may not materially alter By Karena's logos, trademarks, product images, or other protected materials in a manner that creates confusion about the brand or implies an endorsement that has not been authorized.
Affiliate Reviews & Testimonials
Affiliates may share genuine opinions and experiences with By Karena products.
Any review or testimonial must reflect the Affiliate's honest experience.
Affiliates may not create, submit, purchase, or encourage others to create false reviews or testimonials for By Karena.
Responsibility for Content
The Affiliate is responsible for promotional content they create, publish, distribute, or cause to be distributed.
By Karena may request that an Affiliate modify or remove content that violates these Terms, applicable law, platform requirements, or By Karena's reasonable brand standards.
Failure to comply with a reasonable request may result in suspension or termination of the Affiliate's participation in the Program.
Prohibited Transactions & Referral Activity
Self-Referrals
Affiliates may not use their own affiliate link or affiliate code to generate commissions on purchases they make for themselves.
Self-referrals do not qualify for commissions, referral credit, or tier advancement.
By Karena may remove commissions or other Program credit resulting from self-referrals.
Artificial or Coordinated Referrals
Affiliates may not arrange, encourage, or participate in transactions primarily for generating affiliate commissions or satisfying Program tier requirements without genuine customer purchasing intent.
This includes, but is not limited to:
-
Creating or coordinating purchases solely to generate commissions;
-
Asking friends, family members, or other individuals to make purchases solely to generate commissions or tier credit;
-
Using multiple accounts to generate additional commissions or referrals;
-
Creating fictitious customers or referrals;
-
Purchasing products for artificially increasing sales or referral totals; or
-
Manipulating views, engagement, sales, referrals, or revenue figures.
A genuine purchase made by a friend, family member, or other person is not automatically prohibited solely because the customer knows the Affiliate. However, the purchase must be a legitimate transaction and may not be arranged primarily to generate Program benefits artificially.
Affiliate Code Abuse
Affiliates may not:
-
Misrepresent an affiliate code as a general By Karena promotion;
-
Advertise an expired or unauthorized discount;
-
Modify an affiliate code;
-
Claim that a discount exists when it does not;
-
Use another Affiliate's code as their own; or
-
Distribute affiliate codes through deceptive or unauthorized methods.
Order Manipulation
Affiliates may not encourage customers to cancel, return, reorder, or otherwise manipulate transactions for increasing commissions or obtaining additional Program benefits.
Orders determined to have been manipulated may be excluded from commissions and tier
Review of Transactions
By Karena may review transactions, referrals, and Program activity when it has reasonable grounds to believe that activity may violate these Terms or compromise the integrity of the Program.
By Karena may withhold commissions associated with transactions under reasonable review until the review is completed.
If activity is determined to violate these Terms, By Karena may remove the associated commissions, referral credit, sales credit, or tier progress, and may take additional action under the Termination and Suspension provisions.
No Guaranteed Earnings
Participation in the Program does not guarantee that an Affiliate will earn commissions, reach a particular tier, receive a particular number of referrals, or generate any particular amount of revenue.
Affiliate earnings depend on legitimate customer activity and qualifying purchases.
Returns, Refunds, Cancellations & Chargebacks
Commission Holding Period
Affiliate commissions are subject to a 30-day holding period beginning on the date of the qualifying transaction.
During this 30-day period, the commission will remain pending while By Karena allows time for returns, refunds, cancellations, chargebacks, fraudulent transactions, and other order-related issues to be identified and processed.
A commission displayed as pending in Affiliatrak is not yet payable.
When a Commission Becomes Payable
After the applicable 30-day holding period has been completed, the commission may become payable if:
-
The underlying order remains valid and eligible;
-
The order has not been canceled, returned, refunded, or charged back;
-
The transaction has not been determined to be fraudulent or otherwise ineligible; and
-
The Affiliate remains in good standing with the Program.
Once these requirements are satisfied, the commission becomes part of the Affiliate's payable commission balance.
Monthly Payout Schedule
Payable commissions are paid monthly via PayPal on the 15th of each month.
An Affiliate must have at least $25 in payable commissions at the time of the applicable payout to receive a payment.
If the Affiliate's payable balance is less than $25, the balance will remain on the Affiliate's account and roll forward to the next payout period until the $25 minimum payout threshold is reached.
Example of the Payout Timeline
For clarity, the following example illustrates how the holding period and payout schedule work:
September 5: Customer places a qualifying order.
September 5–October 5: The commission is subject to the 30-day holding period.
October 5: The 30-day holding period is completed. If the order remains eligible, the commission becomes payable.
October 15: If the Affiliate's total payable commission balance is at least $25, the eligible balance is paid via PayPal.
If the Affiliate's total payable balance is less than $25 on October 15, the balance rolls forward to the next payout period.
Canceled Orders
If an order is canceled before the commission becomes payable, the associated commission will not be eligible for payout.
If a commission was previously credited and the underlying order is subsequently canceled, By Karena may reverse the associated commission.
Returns & Refunds
If a qualifying order is returned or refunded, the commission associated with the returned or refunded amount may be reduced or reversed.
If only part of an order is refunded, the Affiliate's commission may be adjusted to reflect the remaining eligible merchandise amount.
Chargebacks
Orders subject to chargebacks or payment disputes are not eligible for affiliate commission until the transaction is resolved and otherwise satisfies the Program's requirements.
If a chargeback occurs after a commission has been paid, By Karena may reverse the applicable commission and deduct the amount from future commissions or the Affiliate's Program balance, where permitted by applicable law.
Fraudulent or Invalid Transactions
Transactions that By Karena reasonably determines to be fraudulent, unauthorized, abusive, or otherwise invalid are not eligible for commissions or tier credit.
Tier Credit
Canceled, refunded, returned, charged-back, fraudulent, or otherwise ineligible orders do not count toward qualifying sales, affiliate revenue, or other Program requirements.
If previously credited activity later becomes ineligible, By Karena may adjust the Affiliate's recorded Program activity accordingly.
Payable Commissions
Only commissions associated with qualifying transactions that have completed the applicable 30-day holding period and remain eligible under these Terms are considered payable commissions.
By Karena will use its Program records, order records, and Affiliatrak tracking information to determine commission eligibility and payout amounts.
Payment, PayPal & Tax Responsibilities
Payment Method
Affiliate commissions are paid through PayPal.
Affiliates are responsible for providing accurate and current PayPal account information necessary to receive payments.
By Karena is not responsible for payment delays caused by incorrect, incomplete, outdated, or inaccessible PayPal information provided by the Affiliate.
Payment Schedule
Eligible commissions are paid monthly on the 15th in accordance with the payout eligibility requirements described in Section 8.
An Affiliate must have at least $25 in payable commissions to receive a payout.
If the Affiliate's payable balance is less than $25 on the scheduled payout date, the balance will remain on the Affiliate's account and roll over to the next payout period.
Payment Processing
PayPal may impose its own terms, fees, limitations, verification requirements, or processing times.
By Karena does not control PayPal's processing time or availability.
If a payment cannot be completed because of an issue with the Affiliate's PayPal account or payment information, By Karena may hold the payment until the issue is resolved.
Taxes
Affiliate commissions are compensation for participation in the Program and may constitute taxable income.
Each Affiliate is solely responsible for determining and satisfying their own federal, state, local, and other applicable tax obligations arising from payments received through the Program.
By Karena does not provide tax, accounting, or legal advice to Affiliates.
By Karena may request tax information or documentation from an Affiliate when required or reasonably necessary for payment processing or tax reporting purposes.
Where required by applicable law, By Karena may report Affiliate payments to the appropriate tax authorities and provide applicable tax forms or documentation.
Payment Information
Affiliates must provide accurate information requested by By Karena for payment or tax purposes.
By Karena may delay or withhold payment until required information has been provided and reasonably verified.
An Affiliate's failure to provide required information may prevent or delay payment.
Minimum Payout Threshold
The Program has a $25 minimum payout threshold.
The minimum payout threshold applies to the Affiliate's total payable commission balance, not to the value of an individual customer order.
The $25 payout threshold is separate from the $20 minimum qualifying-order requirement described in Section 3.
No Interest on Unpaid Balances
Affiliates are not entitled to interest, fees, penalties, or other compensation on commissions that remain pending, roll over because they have not reached the minimum payout threshold, or are temporarily held for verification or other legitimate Program purposes.
FTC Compliance, Disclosures & Advertising Laws
Affiliates must comply with all applicable federal, state, and local laws, regulations, rules, and applicable platform policies governing advertising, endorsements, consumer protection, marketing, and promotional communications.
This includes applicable requirements of the Federal Trade Commission (“FTC”) concerning endorsements, testimonials, affiliate marketing, and disclosure of material connections.
Because Affiliates may receive commissions from qualifying purchases, the Affiliate has a financial relationship with By Karena that may constitute a material connection requiring disclosure.
Affiliates must clearly and conspicuously disclose their relationship with By Karena whenever required by applicable law or FTC guidance.
The disclosure must:

Be easy for consumers to notice and understand;
-
Appear in close proximity to the applicable promotional content, recommendation, endorsement, or affiliate link;
-
Clearly communicate that the Affiliate may receive compensation or a commission from qualifying purchases;
-
Not be hidden, buried, obscured, or placed where consumers are unlikely to see it;
-
Be understandable to the intended audience; and
-
Comply with the requirements and limitations of the platform on which the promotion appears.
An Affiliate should not rely solely on terms that consumers may not understand, such as “affiliate link,” “commissionable link,” or similar wording, when a clearer explanation of the financial relationship is appropriate. The FTC specifically notes that consumers may not understand that “affiliate link” means the person placing the link receives compensation.
Examples of Acceptable Disclosures
Depending on the context, Affiliates may use clear language such as:
“I earn a commission from qualifying purchases made through my link.”
or
“This post contains affiliate links, which means I may earn a commission if you purchase through my link.”
The Affiliate is responsible for determining whether additional or different disclosures are required based on the applicable platform, content format, audience, or law.
Social Media & Video Content
For social media posts, stories, videos, livestreams, blogs, websites, and other promotional formats, Affiliates must place disclosures where consumers are reasonably likely to notice them.
A disclosure should not be placed only on a separate profile page, hidden behind a link, buried after a long block of text, or otherwise positioned so that consumers are unlikely to see it. For visual or video content, the disclosure should be presented in a manner that consumers can reasonably notice and understand.
Affiliates may only make statements about By Karena products that are truthful, accurate, and consistent with the Affiliate's genuine experience where the Affiliate represents personal experience.
Affiliates must not:
-
Make false, misleading, or deceptive statements;
-
Make claims about product performance that cannot be substantiated;
-
Represent that they used or personally experienced a product when they did not;
-
Make guarantees regarding product results;
-
Misrepresent product features, materials, pricing, availability, discounts, shipping, or policies; or
-
Make claims that By Karena could not lawfully make itself.
FTC guidance states that endorsements must reflect the honest opinion or experience of the endorser and cannot be used to make claims that would be deceptive or unsupported if made directly by the advertiser.
Each Affiliate is responsible for ensuring that their promotional content and disclosures comply with applicable laws, regulations, and platform requirements.
By Karena may provide general disclosure instructions or examples, but an Affiliate's receipt of such instructions does not transfer the Affiliate's legal responsibilities to By Karena.
Monitoring & Corrective Action
By Karena may periodically review Affiliate promotional content, links, codes, and other promotional activity for compliance with these Terms.
If By Karena reasonably believes that promotional content or activity violates these Terms, applicable law, FTC guidance, or a platform's rules, By Karena may request that the Affiliate correct, modify, or remove the content.
Failure to comply with a reasonable compliance request may result in suspension or termination of Program participation and may result in the withholding, reversal, or removal of commissions or Program credit associated with the non-compliant activity, subject to applicable law.
Information provided by By Karena regarding advertising, disclosure, or promotional practices is intended for Program guidance and does not constitute legal advice.
Affiliates are responsible for understanding and complying with the laws and platform rules applicable to their own promotional activities.
Changes in Advertising Requirements
By Karena may update its promotional and disclosure requirements when reasonably necessary to reflect changes in applicable law, FTC guidance, platform requirements, or industry practices.
Material changes affecting Affiliate obligations will be communicated in accordance with the Program's Terms regarding modifications.
Intellectual Property, Trademarks & Brand Use
All trademarks, trade names, logos, brand names, product names, product photographs, graphics, designs, written content, product descriptions, website content, marketing materials, and other intellectual property owned or controlled by By Karena remain the property of By Karena or the applicable rights holder.
Participation in the Affiliate Program does not transfer or grant the Affiliate any ownership interest in By Karena's intellectual property.
During an Affiliate's active participation in the Program, By Karena grants the Affiliate a limited, non-exclusive, non-transferable, revocable permission to use approved By Karena brand materials solely for the purpose of promoting eligible By Karena products through the Affiliate Program.
This permission does not grant the Affiliate ownership of, or any independent rights in, By Karena's intellectual property.
Affiliates may use By Karena logos, product images, graphics, product descriptions, promotional materials, and other brand assets that By Karena makes available or expressly approves for Affiliate use.
Affiliates must use such materials substantially as provided and may not alter them in a manner that could misrepresent the By Karena brand, products, or relationship between the Affiliate and By Karena.
Affiliates may not:

Register or attempt to register any trademark, trade name, domain name, social media username, or other identifier containing or confusingly similar to By Karena, ByKarena, or other By Karena protected names without written permission;
-
Represent themselves as By Karena, an employee of By Karena, an owner of By Karena, or an official representative unless expressly authorized;
-
Use By Karena trademarks in a manner that suggests sponsorship, ownership, partnership, or endorsement beyond the Affiliate relationship;
-
Use By Karena trademarks as part of misleading advertising or promotional claims; or
-
Use By Karena trademarks in connection with content that violates these Terms or applicable law.
Domain Names & Social Media Accounts
Affiliates may not create websites, domains, social media accounts, pages, profiles, or handles that are likely to cause consumers to believe that the Affiliate's account or property is owned, operated, or officially controlled by By Karena.
This restriction does not prohibit an Affiliate from accurately identifying themselves as an independent By Karena Affiliate, provided that the presentation does not create confusion regarding the Affiliate's relationship with By Karena.
Affiliates retain ownership of original content they independently create, subject to any third-party rights and applicable law.
However, Affiliates may not use By Karena intellectual property in Affiliate-created content except as permitted by these Terms or otherwise authorized by By Karena.
If an Affiliate independently creates photographs, videos, graphics, written content, or other promotional materials featuring By Karena products, the Affiliate remains responsible for ensuring that the content complies with these Terms, applicable law, and applicable platform requirements.
Restrictions on Modification
Affiliates may not materially modify By Karena logos, product images, product information, promotional graphics, or other provided brand materials in a way that:

Changes the meaning or appearance of the material;
-
Creates a false or misleading representation;
-
Suggests an unauthorized promotion, partnership, or endorsement;
-
Misrepresents product characteristics or pricing; or
-
Otherwise creates confusion regarding By Karena or its products.
Minor formatting adjustments necessary for an approved social media platform may be permitted, provided they do not materially alter the content or create a misleading impression.
Removal of Brand Materials
By Karena may require an Affiliate to stop using or remove any By Karena brand material if By Karena determines that the material is outdated, inaccurate, unauthorized, misleading, inconsistent with brand standards, or otherwise inappropriate.
The Affiliate must comply with a reasonable removal or modification request within the timeframe communicated by By Karena.
End of License
The permission to use By Karena brand materials automatically ends when the Affiliate's participation in the Program is suspended or terminated, unless By Karena provides written authorization otherwise.
Upon termination, the Affiliate must discontinue use of By Karena trademarks, logos, promotional materials, affiliate links, affiliate codes, and other Program-specific brand assets within a reasonable period specified by By Karena.
Except for the limited permissions expressly provided in these Terms, no license, ownership interest, or other right in By Karena's intellectual property is granted to the Affiliate.
Nothing in these Terms authorizes an Affiliate to act as an agent, employee, partner, franchisee, or legal representative of By Karena.
Independent Contractor Relationship
An Affiliate has no authority to enter into contracts, make commitments, incur obligations, make representations, or otherwise act on behalf of or legally bind By Karena unless expressly authorized in writing.
Affiliates may not represent that they have authority to speak or act on behalf of By Karena.
Affiliate's Business Activities
Affiliates are responsible for their own promotional activities, content, equipment, internet access, software, advertising expenses, taxes, and other costs associated with participating in the Program.
By Karena does not control the Affiliate's day-to-day activities, work schedule, location, or manner of creating promotional content, provided that the Affiliate complies with these Terms and applicable laws.
No Employee Benefits
Affiliates are not eligible for employee wages, benefits, insurance, paid leave, unemployment benefits, retirement benefits, workers' compensation benefits, or other benefits provided by By Karena to its employees, except where otherwise required by applicable law.
Taxes and Reporting
Affiliates are responsible for determining and paying all taxes, fees, and other governmental obligations arising from commissions or other payments received through the Program, as described further in Section 9.
By Karena may collect tax information and issue applicable tax forms when required by law.
No Exclusivity
Unless separately agreed to in writing, participation in the By Karena Affiliate Program is non-exclusive.
An Affiliate may participate in other affiliate programs or promote other businesses, provided that doing so does not violate these Terms, create a conflict with a specific written agreement with By Karena, misuse By Karena's intellectual property, or otherwise interfere with the Affiliate's obligations under the Program.
No Guaranteed Work or Income
Participation in the Program does not guarantee that an Affiliate will receive a particular number of referrals, sales, commissions, customers, views, or other results.
Affiliates are responsible for their own decisions regarding whether and how to participate in the Program.
Compliance With Applicable Laws
Affiliates are responsible for complying with laws and regulations applicable to their independent promotional activities, including applicable advertising, tax, consumer protection, intellectual property, privacy, and platform requirements.
Nothing in these Terms prevents an Affiliate from exercising any rights or protections that cannot lawfully be waived or limited.
Suspension & Termination
Suspension
By Karena may temporarily suspend an Affiliate's participation in the Program when reasonably necessary to:

Investigate suspected violations of these Terms;
-
Review potentially fraudulent, abusive, or invalid activity;
-
Protect By Karena, its customers, Affiliates, or the integrity of the Program;
-
Address violations of applicable laws, regulations, or platform requirements; or
-
Address other activity that may create a material risk to the Program or By Karena.
During a suspension, By Karena may temporarily disable the Affiliate's affiliate links, codes, account access, commissions, tier benefits, or other Program features while the matter is reviewed.
Termination
By Karena may terminate an Affiliate's participation in the Program if the Affiliate:

Violates these Terms or other applicable Program requirements;
-
Engages in fraudulent, deceptive, abusive, or prohibited activity;
-
Violates applicable law or platform rules;
-
Misuses By Karena intellectual property or brand materials;
-
Provides materially false or misleading information;
-
Manipulates affiliate tracking, referrals, sales, views, or other Program metrics;
-
Engages in conduct that could materially harm By Karena, its customers, or the integrity of the Program; or
-
Otherwise fails to maintain the requirements for continued participation.
Where appropriate, By Karena may provide the Affiliate an opportunity to correct a violation before termination. By Karena may terminate immediately when the circumstances reasonably warrant immediate action.
Termination by Affiliate
An Affiliate may voluntarily terminate their participation in the Program at any time by providing written notice to By Karena or by following any available account-closure process provided through the Program.
Termination does not eliminate obligations that arose before termination or obligations that expressly survive termination.
Effect of Termination
Upon termination:
-
The Affiliate's access to the Program and Affiliatrak dashboard may be disabled;
-
Affiliate links and codes may be deactivated;
-
The Affiliate must stop representing themselves as an active By Karena Affiliate;
-
The Affiliate must discontinue use of By Karena trademarks, logos, and other Program-provided brand materials as required under Section 11;
-
The Affiliate may no longer generate new commissions or tier credit; and
-
Any pending commissions will remain subject to the Program's eligibility, holding-period, adjustment, and payment requirements.
Commissions Following Termination
Termination does not automatically guarantee payment of all commissions displayed in an Affiliate's account.
Commissions associated with qualifying transactions that occurred before termination may remain payable if they:
-
Were properly attributed;
-
Satisfy the Program's minimum qualifying requirements;
-
Complete the applicable holding period;
-
Are not subsequently canceled, refunded, returned, charged back, or determined to be fraudulent or otherwise ineligible; and
-
Otherwise comply with these Terms.
By Karena may withhold or reverse commissions associated with violations, invalid transactions, or other activity that makes the commissions ineligible under these Terms, subject to applicable law.
Termination for Cause
If By Karena terminates an Affiliate for fraud, abuse, deceptive conduct, manipulation, or another material violation of these Terms, By Karena may remove or reverse commissions and Program credit associated with the prohibited activity.
Nothing in this Section authorizes By Karena to withhold compensation that cannot lawfully be withheld.
Reapplication
An Affiliate whose participation has been terminated may not create a new Affiliate account or reapply to the Program under another identity, account, email address, or other information without written authorization from By Karena.
By Karena may determine whether a previously terminated Affiliate may reapply.
Survival
Sections of these Terms that by their nature should continue after termination will survive termination, including provisions relating to intellectual property, unpaid or adjusted commissions, taxes, limitations of liability, indemnification, dispute resolution, and any other provisions intended to survive termination.
Program Changes & Modification of Terms
By Karena reserves the right to modify, update, suspend, or discontinue any aspect of the Affiliate Program when reasonably necessary for business, operational, legal, technical, or other legitimate reasons.
Changes may include, but are not limited to:

Commission rates or tier structures;
-
Qualifying sales, referrals, views, revenue, or promotional requirements;
-
Affiliate links, codes, tracking methods, or attribution rules;
-
Payment schedules or payment procedures;
-
Promotional requirements;
-
Eligible or excluded products;
-
Program benefits or features; and
-
Other Program rules or requirements.
By Karena may revise these Terms from time to time.
When material changes are made, By Karena will provide reasonable notice through the Affiliate's registered email address, Affiliatrak dashboard, or another reasonable communication method.
The updated Terms will identify the applicable effective date.
Affiliate Acceptance of Updated Terms
Continued participation in the Program after the effective date of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
If an Affiliate does not agree to a material change, the Affiliate may discontinue participation in the Program before the effective date of the change.
Previously Earned Commissions
Changes to commission rates or Program requirements generally apply prospectively unless otherwise required by applicable law or expressly stated in the applicable update.
A transaction that was properly attributed and otherwise eligible before a change will generally be evaluated under the Terms and commission rate applicable to that transaction, subject to later adjustments for returns, refunds, cancellations, chargebacks, fraud, or other circumstances described in these Terms.
Program Suspension or Discontinuation
By Karena may temporarily suspend or permanently discontinue the Affiliate Program, in whole or in part.
If the Program is discontinued, By Karena will process eligible commissions earned before discontinuation in accordance with these Terms and applicable law, subject to the applicable holding periods, payment thresholds, and adjustment provisions.
No Guarantee of Program Availability
By Karena does not guarantee that the Affiliate Program, Affiliatrak dashboard, affiliate links, tracking systems, promotional materials, or other Program features will remain available without interruption.
Technical interruptions, maintenance, business decisions, third-party service changes, or other circumstances may affect Program availability.
Communication of Program Changes
Affiliates are responsible for maintaining a current email address and regularly reviewing communications and Program information provided by By Karena.
By Karena is not responsible for an Affiliate's failure to receive a notice because the Affiliate provided inaccurate, outdated, inaccessible, or invalid contact information.
Privacy & Data
Collection of Affiliate Information
By Karena may collect and process information provided by Affiliates regarding applying for, participating in, and receiving payments through the Affiliate Program.
This information may include, as applicable:

Name and contact information;
-
Email address;
-
Affiliate account information;
-
Payment information;
-
Tax or verification information;
-
Promotional and social media information;
-
Affiliate links and codes;
-
Program performance information; and
-
Other information reasonably necessary to administer the Program.
Use of Affiliate Information
By Karena may use Affiliate information as reasonably necessary to:
-
Review and administer applications;
-
Operate and manage the Affiliate Program;
-
Track referrals, qualifying transactions, commissions, and tier activity;
-
Process payments;
-
Verify account information and Program activity;
-
Communicate with Affiliates;
-
Detect and prevent fraud, abuse, or unauthorized activity;
-
Comply with legal, tax, accounting, and regulatory obligations; and
-
Otherwise administer the Program.
Affiliatrak and Third-Party Services
The Program may rely on third-party services, including Affiliatrak and payment providers such as PayPal, to provide affiliate tracking, account management, payment processing, analytics, verification, or other Program-related services.
The collection, use, storage, and processing of information by those third parties may also be subject to their respective terms, privacy policies, and other applicable agreements.
Affiliates are responsible for reviewing applicable third-party terms and policies governing their use of those services.
Affiliate Tracking
The Program may use cookies, tracking links, pixels, or similar technologies to identify referrals, attribute qualifying transactions, measure Program activity, and calculate commissions.
Tracking practices may be affected by browser settings, device settings, privacy tools, cookie restrictions, ad blockers, or other technical factors.

Customer Information
Affiliates may receive limited information about the performance of their affiliate activity through the Program dashboard.
Affiliates are not authorized to access, collect, download, retain, sell, disclose, or otherwise use customer personal information obtained through the Program except as expressly authorized by By Karena and permitted by applicable law.
Affiliates must not attempt to obtain customer payment information, passwords, account credentials, or other sensitive information through their participation in the Program.
Affiliate Responsibilities Regarding Personal Information
If an Affiliate collects personal information directly through their own website, social media activity, forms, promotional campaigns, or other channels, the Affiliate is responsible for complying with applicable privacy and data-protection laws and for providing any disclosures or notices required by law.
Affiliates must not represent that By Karena is responsible for the Affiliate's independent collection or processing of personal information unless expressly authorized.
Security
By Karena will take reasonable measures appropriate to its operations to protect information used in connection with the Program.
However, no electronic transmission, storage system, or third-party service can be guaranteed to be completely secure.
Affiliates should use reasonable security practices when accessing their Program and payment accounts, including protecting passwords and account credentials.
Required Disclosures and Legal Compliance
By Karena may disclose information when reasonably necessary to comply with applicable law, legal process, governmental requests, tax obligations, fraud prevention, payment processing, or the protection of By Karena, its customers, Affiliates, or other persons.
Privacy Policy
The Affiliate Program is also subject to By Karena's applicable Privacy Policy and other website policies governing the collection and use of information.
If a conflict exists between these Terms and a privacy notice regarding the handling of personal information, the applicable privacy notice will govern the specific privacy practice to the extent required by applicable law.
Disclaimers & Limitation of Liability
Program Provided As Available
The Affiliate Program, Affiliatrak dashboard, affiliate links, tracking systems, promotional materials, and other Program features are provided on an “as available” basis.
By Karena will make reasonable efforts to operate the Program and maintain its availability but does not guarantee that the Program or any Program feature will always be available, uninterrupted, error-free, or free from technical issues.
No Guarantee of Earnings
By Karena does not guarantee that an Affiliate will generate any particular amount of:

Sales;
-
Referrals;
-
Clicks;
-
Views;
-
Revenue;
-
Commissions; or
-
Other financial or promotional results.
Affiliate earnings depend on factors including customer behavior, promotional activity, product demand, attribution, and other circumstances outside By Karena's control.
Tracking & Technical Issues
By Karena does not guarantee that every referral, click, purchase, or other Affiliate activity will be successfully tracked or attributed.
Tracking may be affected by browser settings, cookies, privacy tools, device settings, ad blockers, technical failures, third-party services, customer behavior, or other circumstances.
Where reasonably available, By Karena will rely on its Program records and tracking systems to determine attribution and commissions.
Third-Party Services
The Program may depend on third-party services, including Affiliatrak, PayPal, social media platforms, website providers, payment processors, and other service providers.
By Karena is not responsible for interruptions, errors, policy changes, outages, delays, account restrictions, or other issues caused by third-party services, except to the extent required by applicable law.
Affiliate's Independent Activities
Affiliates are responsible for their own promotional activities, content, advertising methods, legal compliance, tax obligations, equipment, technology, and expenses.
By Karena does not guarantee that an Affiliate's promotional strategy, content, audience, platform, or business activities will produce any particular outcome.
Limitation of Liability
To the maximum extent permitted by applicable law, By Karena and its owners, officers, employees, contractors, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to an Affiliate's participation in the Program.
This may include, to the extent permitted by law, loss of profits, loss of business opportunities, loss of anticipated commissions, loss of data, or other indirect losses.
Liability Cap
To the maximum extent permitted by applicable law, the total liability of By Karena arising out of or relating to the Affiliate Program or these Terms will not exceed the total amount of commissions actually paid or payable to the affected Affiliate during the six (6) months immediately preceding the event giving rise to the claim.
This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.
No Waiver of Non-Waivable Rights
Nothing in these Terms is intended to exclude, restrict, or waive any right, remedy, liability, or protection that cannot lawfully be excluded, restricted, or waived.
No Professional Advice
Information provided by By Karena through the Affiliate Program, including promotional guidance, business information, product information, or Program instructions, is provided for general informational and Program-administration purposes and does not constitute legal, tax, financial, medical, or other professional advice.
Affiliates should obtain independent professional advice when appropriate.
Product Claims
Affiliates are responsible for relying only on accurate and authorized product information when promoting By Karena products.
Nothing in these Terms authorizes an Affiliate to make claims that are false, misleading, unsupported, or otherwise prohibited under applicable law.
Indemnification
Affiliate Indemnification
To the maximum extent permitted by applicable law, the Affiliate agrees to defend, indemnify, and hold harmless By Karena and its owners, officers, employees, contractors, agents, service providers, and representatives from and against third-party claims, damages, losses, liabilities, costs, and reasonable expenses, including reasonable attorneys' fees, arising out of or relating to:

The Affiliate's violation of these Terms;

The Affiliate's violation of applicable laws, regulations, or platform rules;
-
The Affiliate's promotional content, advertising, endorsements, or representations;
-
False, misleading, deceptive, or unauthorized statements made by the Affiliate;

The Affiliate's misuse of By Karena intellectual property or brand materials;
-
The Affiliate's infringement or alleged infringement of a third party's intellectual property, privacy, publicity, or other rights;
-
Fraudulent, abusive, or prohibited activity conducted by the Affiliate;
-
The Affiliate's collection, use, disclosure, or other processing of personal information in violation of applicable law; or
-
The Affiliate's negligent or wrongful acts or omissions regarding participation in the Program.
Exclusions
The Affiliate's obligations under this Section do not apply to the extent that a claim or loss is caused by By Karena's own unlawful conduct, gross negligence, or willful misconduct, to the extent such exclusion is required by applicable law.
Notice of Claim
If By Karena becomes aware of a third-party claim that may be covered by this Section, By Karena will provide the Affiliate with reasonable notice when practicable.
A delay in providing notice will not eliminate the Affiliate's obligations except to the extent the delay materially prejudices the Affiliate's ability to defend the claim.
Defense of Claims
By Karena may participate in the defense of a covered claim with counsel of its choosing.
The Affiliate may not settle a claim in a manner that:

Admits fault or wrongdoing by By Karena;

Imposes an obligation on By Karena;
-
Requires By Karena to make a payment or take an action; or
-
Restricts By Karena's rights,
without By Karena's prior written consent.
No Limitation of Non-Waivable Rights
Nothing in this Section is intended to require an Affiliate to indemnify By Karena for liability that cannot lawfully be transferred or imposed under applicable law.
Governing Law & Dispute Resolution
Governing Law
These Terms and the Affiliate's participation in the Program will be governed by and interpreted in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law principles, except to the extent that applicable law requires otherwise.
Good-Faith Resolution
Before initiating formal legal proceedings regarding a dispute arising from these Terms or the Affiliate Program, the parties should make reasonable efforts to resolve the dispute in good faith.
An Affiliate may contact By Karena using the business contact information provided through the Program to describe the issue and proposed resolution.
Venue
To the extent permitted by applicable law, any court proceeding arising out of or relating to these Terms or the Affiliate Program will be brought in a state or federal court located in New Jersey.
The parties consent to the jurisdiction of such courts, except where applicable law provides otherwise.
Informal Resolution Does Not Limit Legal Rights
The informal resolution process described above does not prevent either party from seeking immediate legal or equitable relief when necessary to protect intellectual property, confidential information, prevent fraud or unauthorized activity, or address another circumstance where immediate relief may be appropriate.
Individual Rights and Applicable Law
Nothing in these Terms prevents an Affiliate from exercising rights or pursuing remedies that cannot lawfully be waived, limited, or restricted under applicable law.
No Class Waiver
Nothing in these Terms is intended to waive or limit any right to participate in a class action or other collective proceeding where such waiver or limitation is prohibited by applicable law.
General Provisions
Entire Agreement
These Terms, together with any Program policies, requirements, disclosures, or other documents expressly incorporated into these Terms, constitute the entire agreement between By Karena and the Affiliate regarding participation in the Affiliate Program.
These Terms supersede any prior or contemporaneous oral or written understandings regarding the subject matter of the Program, except for any separate written agreement expressly entered into by both parties.
Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the remaining provisions will remain in full force and effect.
Waiver
A failure or delay by By Karena to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision or any other provision in the future.
Any waiver must be made by By Karena in writing to be effective.
Assignment
An Affiliate may not assign, transfer, delegate, sell, or otherwise transfer their rights or obligations under these Terms, including their Affiliate account, affiliate links, codes, commissions, or Program status, without By Karena's prior written consent.
By Karena may assign or transfer its rights and obligations under these Terms regarding a business transfer, reorganization, sale of assets, merger, acquisition, or similar transaction, subject to applicable law.
No Third-Party Beneficiaries
Except as expressly stated in these Terms, these Terms do not create any rights or remedies for any person or entity other than By Karena and the Affiliate.
Notices
By Karena may provide notices relating to the Program through the email address associated with the Affiliate's account, the Affiliatrak dashboard, the By Karena website, or another reasonable communication method.
Affiliates are responsible for maintaining accurate contact information and reviewing Program communications.
Electronic Communications
The Affiliate agrees that By Karena may communicate with the Affiliate electronically regarding the Program, including applications, approvals, account activity, commissions, policy updates, notices, and other Program matters.
Electronic communications satisfy any legal requirement that such communications be provided in writing, to the extent permitted by applicable law.
Electronic Acceptance
By applying to, enrolling in, or participating in the Program, the Affiliate acknowledges that they have had an opportunity to review these Terms and agrees to be bound by them.
Where By Karena provides an electronic acceptance mechanism, such as a checkbox, electronic signature, or other affirmative acceptance method, the Affiliate's electronic acceptance will constitute their agreement to these Terms to the extent permitted by applicable law.
Interpretation
Headings and section titles are included for convenience and do not affect the interpretation of these Terms.
The words “including” and “includes” mean “including without limitation” unless otherwise expressly stated.
No Construction Against Either Party
To the extent permitted by applicable law, these Terms will not be interpreted against either party solely because that party drafted or prepared the Terms.
Survival
Any provision that by its nature or express language is intended to continue after an Affiliate's participation ends will survive suspension or termination of the Affiliate's participation in the Program.
Compliance With Applicable Law
If any provision of these Terms conflicts with a mandatory requirement of applicable law, the applicable legal requirement will control to the extent of the conflict, and the remaining provisions will continue in effect to the fullest extent permitted by law.
Affiliate Acknowledgment & Acceptance
Acknowledgment
By applying to, enrolling in, or participating in the By Karena Affiliate Program, the Affiliate acknowledges that they have had an opportunity to read and review these Terms and understand the requirements governing participation in the Program.
Agreement to Terms
By submitting an application, electronically accepting these Terms, or otherwise participating in the Program, the Affiliate agrees to be bound by these Terms, including any applicable Program policies and requirements incorporated into them.
Accuracy of Information
The Affiliate confirms that the information provided to By Karena in connection with the Program is accurate and complete to the best of their knowledge.
The Affiliate agrees to promptly update information that becomes inaccurate or outdated.
Compliance
The Affiliate agrees to comply with:

These Terms;
-
Applicable laws and regulations;
-
Applicable advertising and disclosure requirements;
-
Applicable social media and platform rules;
-
By Karena's promotional and brand-use requirements; and
-
Reasonable Program instructions communicated by By Karena.
Understanding of Commission Conditions
The Affiliate understands that:

Commission rates depend on the Affiliate's applicable Program tier;
-
A qualifying order must meet the Program's minimum eligible merchandise requirement;
-
Commissions are subject to the applicable attribution and tracking requirements;
-
Commissions remain subject to the applicable holding period;
-
Returns, refunds, cancellations, chargebacks, fraudulent activity, and other ineligible transactions may result in commission adjustments or reversals;
-

Effective Date
These Terms become effective for the Affiliate upon the Affiliate's acceptance of the Terms or upon the Affiliate's participation in the Program, whichever occurs first, unless a different effective date is expressly provided by By Karena.
